Prysmian, the Italian cable and connectivity maker, agreed to acquire Atkore in an all-cash deal that turns the buyer into a full electrical solutions provider across North America. Joele Frank, Wilkinson Brimmer Katcher advised Atkore on communications.
Terms set the price at $95.00 per share in cash, an implied enterprise value of about $3.8 billion. The offer marks roughly a 30% premium to Atkore’s July 31 closing price of $72.96 and about a 23% premium to the stock’s 90-day volume weighted average. Atkore, listed on the New York Stock Exchange under the ticker ATKR, makes electrical conduit, cable and related infrastructure products. It booked $2.85 billion in fiscal 2025 revenue and about $386 million in EBITDA, with roughly 5,400 employees. Joele Frank fielded investor and media questions for Atkore once the price was set.
The buyer is far larger. Prysmian runs 109 manufacturing plants and 30 research and development centers across more than 50 countries, employs about 34,000 people and generates roughly 20 billion euros a year. Chief Executive Massimo Battaini has pushed the company deeper into North America, and the Atkore purchase advances that aim. Prysmian cast the combination as a one-stop supplier for power infrastructure and data-center construction, the demand behind the current build-out of AI computing capacity. It expects about $150 million in run-rate pre-tax synergies within three years of closing.
Citi served as lead financial adviser to Atkore, with J.P. Morgan also advising and Debevoise & Plimpton as legal counsel. The Joele Frank team coordinated the announcement alongside those advisers. The companies expect to close by the end of 2026, subject to a vote by Atkore shareholders, regulatory clearances and customary conditions. Prysmian, whose shares trade on the Borsa Italiana in Milan, ranks among the world’s largest cable makers, and the purchase widens its reach beyond wire and cable into a broader set of electrical products for the U.S. market.

Cross-border buyers have kept their appetite for U.S. electrical infrastructure as power demand climbs, and the Atkore purchase ranks among the larger such deals of the year. For Prysmian, the acquisition folds a North American manufacturing and distribution network into a portfolio already built on energy and digital connections.
